Terms & Conditions

General terms of business (AGB) for software licences, subscriptions, implementation services and hardware supplied by InSoft Online, Balingen.

1. Scope

These terms apply to all contracts between InSoft Online, Karlstraße 18, 72336 Balingen ("InSoft") and its customers concerning point-of-sale and ERP software, mobile and desktop applications, online stores, implementation and support services, and the supply of hardware. They apply to business customers (B2B). Deviating conditions of the customer only become part of the contract if InSoft confirms them in writing.

2. Offers and conclusion of contract

Prices and bundles shown on this website, including the configurator, are non-binding and serve as orientation. A contract comes into existence when InSoft issues a written quotation and the customer accepts it, or when InSoft confirms an order in writing. Quotations remain valid for 14 days unless stated otherwise.

3. Software and licences

The customer receives a non-exclusive, non-transferable right to use the contracted software for the agreed number of users, tills or devices, for the duration of the contract. Third-party components, in particular Odoo, are governed additionally by the licence terms of their respective vendors. Reverse engineering, sublicensing or resale is not permitted without written consent. Updates and new versions are included in an active subscription; major functional extensions may be offered as separate modules.

4. Implementation, training and support

Configuration, data import, training and support are provided as agreed in the quotation. Where a fixed scope is agreed, additional requests are quoted separately. Support is delivered remotely by default from the German and Syrian teams during business hours (Mon–Fri, 9:00–18:00 CET); on-site work and out-of-hours service are billed at the agreed rates.

5. Hardware

Hardware (tills, terminals, printers, scanners, scales, screens and accessories) is sold subject to availability. Delivery times are estimates. Title passes to the customer once payment has been received in full. Manufacturer warranties apply in addition to the statutory rights; devices must be used with the power supplies and consumables specified by the manufacturer.

6. Prices and payment

All prices are net and exclude statutory VAT unless marked otherwise. Subscriptions are invoiced in advance for the agreed billing period; one-off services and hardware upon delivery or completion. Invoices are payable within 14 days without deduction. In case of default, InSoft may suspend services after prior notice.

7. Customer duties

The customer provides a suitable operating environment: internet connectivity, network and power at the point of sale, and timely access to the data and staff needed for configuration and training. The customer is responsible for the lawfulness and accuracy of the master data, prices and tax rates it maintains in the system, and for keeping access credentials confidential.

8. Data protection and fiscal requirements

Where InSoft processes personal data on behalf of the customer, the parties conclude a data processing agreement pursuant to Art. 28 GDPR. InSoft supplies its POS software in a configuration intended to meet German fiscal requirements (GoBD and Kassensicherungsverordnung, including TSE support). Responsibility for registering tills with the tax authority, for retaining records and for correct tax settings remains with the customer.

9. Warranty and liability

InSoft warrants that the software substantially provides the functionality described in the quotation. Defects are remedied within a reasonable period by correction or workaround. InSoft is liable without limitation for intent and gross negligence, for injury to life, body or health, and under mandatory statutory provisions. For slight negligence, liability is limited to the breach of essential contractual obligations and to the foreseeable damage typical for this type of contract, capped at the fees paid in the twelve months preceding the event. Liability for loss of data is limited to the effort of restoring data from backups kept in accordance with good practice.

10. Term and termination

Subscriptions run for the agreed minimum term and renew automatically for the same period unless terminated with three months' notice to the end of the term. The right to terminate for good cause remains unaffected. On termination, the customer's right to use the software ends; InSoft provides an export of the customer's data in a common format on request.

11. Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction for merchants is Balingen. Should any provision be or become invalid, the remaining provisions stay in force. Amendments to these terms require written form.
